Being a company director comes with the responsibility of maintaining correct accounting records and filing your statutory accounts to Companies House in line with the Companies Act 2006, as well as submitting your corporation tax return to HMRC.

Why should I set up a limited company?

There are several reasons you may wish to set up a limited company. The most common one being that the limited company is legally recognised as a separate entity from its shareholders and directors. Liability is limited and shareholders are only liable for the company’s debts up to the amount of money they have invested in the company (share capital). This means that the shareholders’ personal assets are protected in the event of the company’s insolvency. Another popular reason is that limited companies have certain tax advantages, such as the ability to claim certain business expenses as tax-deductible and the ability to retain profits within the company to offset against future profits.

When will my company require an audit?

Some companies may seek a voluntary audit to provide greater confidence in their financial statements.

Currently, an external statutory audit is required if a company meets any two of the following criteria.

£10.2 million annual turnover or more
£5.1 million total assets or more
50 or more employees on average

If you are a member of a group that requires an audit or after Brexit from 31st Dec 2020, if the parent company is in the EEA, the company will require an audit.

Charities with gross income over £500,000 in Scotland are required to carry out an audit.

The constant changes in the UK tax legislation means that taxpayers can be at risk of incurring penalties for failing to complete their tax returns correctly.

Why do I need to register for Self Assessment and when are the deadlines?

Self assessment tax returns are required for a variety of reasons, including if you are self-employed or in a partnership, have income from property, receive income from investments, or have other taxable income. You are also required to submit a self assessment tax return if you earn over £100,000 in your employment.

If you run your own business and are responsible for it’s success or failure, you are considered to be self employed. Self-employment can take many forms such as running a small business, freelance work or contracting. You will need to register with HMRC and submit self assessment tax returns.

The deadline for HMRC self-assessment tax return is 31st January following the end of the tax year (5th April). For example the deadline for the tax year ending 5th April 2023 is 31st January 2024. It is important to note that this deadline applies to both the submission of the tax return online and paying any tax owed. There is an earlier deadline of 31st October if you choose to file a paper tax return instead of filing online.

VAT Returns

What is VAT and why do I need to register for it?

Value Added Tax (VAT) is a consumption tax that is added to the price of goods and services. It is a type of indirect tax, which means that it is paid by the consumers when they purchase goods or services, but the business collects and remits the tax to HMRC. Businesses are required to register for VAT if their taxable turnover (the total value of goods or services they sell that is subject to VAT) exceeds a certain threshold, currently £85,000 in the past 12 months or expected turnover to be over £85,000 in the next month.
